This Online Course Terms & Conditions Agreement ("Agreement") is entered into between Udara Health Education LLC (the "Company," "we," "our," or "us") and the purchaser, participant, or user of the Course ("you" or "your"). By purchasing, accessing, clicking acceptance, or participating in the Course, you agree to be bound by this Agreement.

1. Course and Scope

The Company agrees to provide you with access to the online course identified at the time of purchase (the "Course"), together with any included digital materials, worksheets, recordings, templates, community access, office hours, or bonus resources specifically listed on the sales page or checkout page.

The Course is an educational offering. Unless expressly stated otherwise in writing, purchase of the Course does not include individualized medical advice, diagnosis, treatment, prescription management, emergency coverage, clinician-to-patient messaging, or the creation of a physician-patient relationship.

2. Educational Use Only; No Medical Care

The Course is provided for general educational and informational purposes only. It is not a substitute for evaluation, diagnosis, or treatment by your own physician or other qualified healthcare professional.

You should not use Course materials to diagnose or treat a health condition, start or stop a medication, change prescribed treatment, or delay seeking professional care.

If you have a medical concern, symptom, or emergency, contact your local clinician, call 911, or go to the nearest emergency department. Use of the Course, website, downloadable resources, email list, discussion spaces, or live educational sessions does not create a physician-patient relationship with Udara Health Education LLC or any clinician affiliated with it.

3. Eligibility

You represent that you are at least 18 years old and legally able to enter into this Agreement. The Course is intended for adults. It is not intended for pediatric care or for use by children.

If you are purchasing the Course for or with another adult, you remain responsible for ensuring that the other person understands that the Course is educational and not individualized medical care.

4. Fees and Payment

You agree to pay the Course price displayed at checkout, together with any applicable taxes, installment obligations, or processing fees disclosed before purchase.

Unless otherwise stated at checkout, access is granted only after the required payment is successfully processed. If you enroll using a payment plan, you remain responsible for all scheduled payments.

If any installment payment fails and is not cured within the time stated in our notice to you, we may suspend access to the Course until the account is brought current.

5. Refund Policy

Unless a different refund policy is expressly stated on the Course sales page or in a written promotion, all Course sales are final and non-refundable.

If the Company elects, in its sole discretion, to provide a courtesy refund or transfer, that decision does not waive the Company's right to enforce this Agreement for future purchases.

6. Access Period and Course Delivery

Your access period is the period stated on the sales page, checkout page, or welcome email. If no specific duration is stated, insert the intended duration before use of this Agreement.

We may update, reorganize, or improve the Course from time to time. We do not guarantee that every bonus, guest session, live call, or feature will remain available forever unless expressly promised in writing.

We may use third-party platforms to host the Course, community, videos, checkout, scheduling, email, or downloadable resources. Availability may occasionally be affected by maintenance, outages, or third-party issues beyond our control.

7. Single-User License; No Sharing or Dissemination

Your purchase grants you a limited, revocable, non-exclusive, non-transferable license for your personal, individual use only.

You may not copy, reproduce, republish, record, livestream, screenshot for redistribution, sell, sublicense, translate, upload, post publicly, share your login, or otherwise disseminate any portion of the Course or Course materials without our prior written consent.

You may not provide Course materials to patients, clients, colleagues, organizations, social media audiences, group chats, or AI training datasets except where the material itself expressly states that it is intended for public redistribution.

Unauthorized sharing or reproduction may result in immediate termination of access, denial of future purchases, and pursuit of available legal remedies.

8. Intellectual Property

All Course content, including videos, audio, text, branding, worksheets, slide decks, graphics, downloadables, frameworks, templates, and compilations, is owned by or licensed to the Company and is protected by copyright, trademark, and other intellectual-property laws.

Nothing in this Agreement transfers ownership of any intellectual property to you. All rights not expressly granted are reserved by the Company.

9. Live Sessions, Community, and Participant Conduct

If the Course includes live Q&A sessions, workshops, discussion boards, or community spaces, they are educational spaces only and are not substitutes for personal medical care.

You agree to participate respectfully and not to harass, threaten, defame, spam, solicit, impersonate others, post unlawful content, or share another participant's personal or health information outside the Course.

We may remove any post, recording, or participant access that we reasonably believe is disruptive, unsafe, unlawful, or inconsistent with the educational purpose of the Course.

10. User Submissions and Testimonials

If you voluntarily submit questions, comments, worksheets, feedback, testimonials, survey responses, images, audio, or video (collectively, "Submissions"), you represent that you have the right to submit them.

You grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, display, adapt, and publish such Submissions for Course administration, internal improvement, or marketing, unless you and the Company agree otherwise in writing.

If you prefer not to have your testimonial or image used publicly, do not submit it for that purpose or notify us in writing before publication.

11. Privacy and Data Use

Your use of the Course is also governed by the Company's Website Privacy Policy, Terms of Use, and Disclaimer, each of which is incorporated by reference.

The Company may collect account, payment, usage, device, and engagement information necessary to deliver the Course and improve user experience. Health-related information that you voluntarily submit in educational settings may still be sensitive, and you agree to use discretion when sharing.

To support operations, we may use service providers for hosting, email, analytics, payment processing, community platforms, customer support, transcription, or AI-assisted administrative tools. Those providers may process data on our behalf subject to their applicable contracts and privacy practices.

12. AI-Assisted Administrative Tools

The Company may use secure technology tools, including AI-assisted tools, for administrative functions such as drafting summaries, organizing submitted questions, helping triage educational support requests, or improving internal workflows.

Any such tools are used to support educational operations and do not convert the Course into individualized medical care.

13. No Guarantees

We do not guarantee any specific health, sleep, respiratory, financial, educational, or personal result from your participation in the Course. Outcomes vary based on individual circumstances, adherence, baseline condition, environment, and factors outside our control.

Any examples, testimonials, or case illustrations are for educational context only and are not promises of future results.

14. Disclaimer of Warranties

To the fullest extent permitted by law, the Course and all related materials are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or uninterrupted access.

15. Limitation of Liability

To the fullest extent permitted by law, the Company and its officers, directors, contractors, employees, affiliates, licensors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or related to the Course.

To the fullest extent permitted by law, the Company's aggregate liability for any claim relating to the Course shall not exceed the amount you paid for that specific Course.

16. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, contractors, employees, and agents from and against claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising out of your misuse of the Course, your breach of this Agreement, your infringement of intellectual-property rights, or your violation of applicable law.

17. Suspension or Termination

We may suspend or terminate your access, without refund, if you violate this Agreement, engage in unauthorized sharing, misuse community spaces, interfere with platform security, or otherwise act in a manner that could harm the Company or other participants.

18. Governing Law and Venue

This Agreement shall be governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Unless the Company requires arbitration in a separate written policy, any dispute arising out of or relating to the Course shall be brought exclusively in the state or federal courts located in Washington, and you consent to personal jurisdiction and venue there.

19. Entire Agreement; Severability; Waiver

This Agreement, together with any incorporated Terms of Use, Privacy Policy, Disclaimer, and checkout terms, constitutes the entire agreement between you and the Company regarding the Course.

If any provision is found unenforceable, the remaining provisions shall remain in effect. No waiver of any provision shall be effective unless in writing.

20. Effective Date and Updates

This Agreement becomes effective when you purchase, access, or use the Course.

The Company may update these Terms & Conditions from time to time. Material changes will apply prospectively unless otherwise required by law. The "Last Revised" date below reflects the latest update.
